These Website Terms of Use (“Website Terms”) govern access to and use of the Fitscale website, demo environment, demo-request process, and trial accounts made available by FITSCALE TECHNOLOGIES OPC (“Fitscale,” “we,” “us,” or “our”). They are intended for prospective gym owners, operators, representatives, and other business users.
These Website Terms do not replace the Fitscale Subscription Agreement, Order Form, or Data Processing Agreement (“DPA”). If a prospect proceeds to a paid subscription, the paid Service is governed by those documents. If there is a conflict, the Subscription Agreement and applicable Order Form control commercial/service matters, while the DPA controls data-protection matters.
You may use the Fitscale website, request a demonstration, and access an authorized trial only for lawful business evaluation and related purposes. You must not misuse, interfere with, reverse engineer where prohibited by law or agreement, compromise, or attempt unauthorized access to the website, demo environment, accounts, systems, or security features.
Submitting a website form, requesting a demo, communicating with Fitscale, or opening a trial account does not by itself create a paid subscription or obligate the prospect to purchase the Service. A paid subscription begins only when the Customer accepts or executes the applicable Order Form and Subscription Agreement, or otherwise gives the written/electronic authorization required by Fitscale for the selected paid plan.
Fitscale may offer a trial for the period and features stated at enrollment. Trial access is temporary, may be subject to reasonable usage and security restrictions, and may exclude features, integrations, support levels, or hardware available under a paid plan.
During the trial, Fitscale may request only the information reasonably necessary to establish and administer the trial. DTI/SEC registration details, TIN, and other complete business or billing information may be optional where not yet available or not applicable. Before conversion to a paid subscription, Fitscale may require the Customer to complete the applicable business, billing, contracting, and authorized-signatory information.
Unless expressly agreed otherwise, a trial expires at the end of the stated trial period and does not automatically create a paid subscription. If the prospect elects to continue as a paid Customer, the applicable paid plan, fees, Subscription Term, hardware/add-ons, and other commercial terms will be stated in the Order Form and governed by the Subscription Agreement.
You must provide materially accurate information and protect login credentials issued for a demo or trial. You are responsible for activity performed through your authorized account and must promptly notify Fitscale of suspected unauthorized access or misuse.
The Fitscale website, demo environment, software, interfaces, documentation, branding, and related proprietary materials are owned by or licensed to Fitscale or its licensors. Demo or trial access grants only a limited, temporary, non-exclusive, non-transferable right to evaluate the applicable features. No ownership or intellectual-property rights are transferred.
Fitscale’s collection and use of personal information relating to website visitors, prospects, demo users, and trial-account contacts is described in the Fitscale Website Privacy Policy. If a prospect becomes a Customer and uses Fitscale to process Gym Member Personal Data, the Subscription Agreement and DPA govern that separate processing relationship.
Fitscale may send communications reasonably necessary to respond to an inquiry, arrange or support a demo, administer a trial, provide security or account notices, and discuss requested subscription services. These service-related communications are distinct from promotional marketing.
Promotional SMS or email should be sent on the basis of a separate marketing opt-in or another lawful basis. Marketing consent is optional and is not a condition for requesting a demo, using an authorized trial, or purchasing the Service. A recipient may withdraw marketing consent using the stated opt-out method.
The website or demo environment may rely on or link to third-party technology or services. Fitscale is not responsible for third-party services outside its control, except to the extent responsibility cannot lawfully be excluded. Processing of personal information by service providers acting for Fitscale remains subject to applicable privacy and contractual requirements.
Fitscale will use reasonable efforts to maintain the website and any demo or trial environment, but trial or demonstration access may be changed, interrupted, limited, or discontinued. Unless expressly stated in writing, a demo or trial is provided for evaluation and is not subject to the service levels or commercial commitments applicable to a paid subscription.
To the maximum extent permitted by applicable law, the website, demo, and trial environment are provided on an “as is” and “as available” basis for evaluation. Fitscale does not warrant uninterrupted or error-free trial access. Nothing in these Website Terms excludes liability that cannot lawfully be excluded or limited.
Fitscale may suspend or terminate demo or trial access for security reasons, misuse, unlawful activity, material breach of these Website Terms, or expiration of the trial period. Termination of a trial does not affect any rights or obligations that by their nature should survive, including intellectual-property, confidentiality, privacy, and legal-compliance obligations.
Fitscale may update these Website Terms to reflect changes in law, technology, or the website/demo offering. The current version and effective date should be posted on the website. Material changes should be communicated where appropriate.
These Website Terms are governed by the laws of the Republic of the Philippines. Any dispute concerning a paid subscription is governed by the dispute-resolution and governing-law provisions of the applicable Subscription Agreement.
